1) Agreement to Terms

By accessing or using this website, you agree to these Terms. If you don’t agree, don’t use the site.

2) Who we are

This site showcases the design work and services of {Your Name/Studio}. Any quotes, proposals, or services are offered at our discretion and subject to separate written agreements.

3) Eligibility

You must be able to form a binding contract and comply with these Terms and applicable laws.

4) Site content & IP

  • All content on this site—designs, text, images, logos, case studies, and code—is owned by {Your Name/Studio} or licensed to us.

  • You may not copy, reproduce, redistribute, or create derivative works from the content without prior written permission.

  • Trademarks and brand names of clients appear for portfolio/reference only.

5) Your submissions (inquiries, briefs, files)

If you send messages, project briefs, or files:

  • You confirm you have the right to share them.

  • You grant us a limited right to review and use them to respond to your inquiry and prepare proposals.

  • Don’t send confidential information unless we’ve signed an NDA.

6) Portfolio & self-promotion

Unless we agree otherwise in writing, we may display non-confidential project work (screens, mockups, thumbnails, process notes) in our portfolio, social channels, and presentations after launch or after a reasonable time period.

7) Quotes, proposals & engagements

  • Any prices and timelines in emails or proposals are estimates until a formal agreement or statement of work (SOW) is signed and initial payment is received.

  • Scope changes, rush requests, and dependency delays may affect cost and schedule.

  • We may decline or cancel a project before an agreement is signed.

8) Payments (if you hire us)

  • Deposits: A non-refundable deposit of {30–50%} is due to book the project.

  • Invoices: Net {7/14} days unless stated otherwise. Late payments may incur a {1.5% monthly} fee (or the maximum permitted by law).

  • Expenses: Client pre-approves reasonable out-of-pocket expenses (fonts, stock, testing devices).

  • Ownership transfer: Final IP rights transfer only after full payment clears (see §10).

9) Revisions & change requests

  • Each milestone includes {1–2} revision rounds unless stated otherwise.

  • New features, extra variations, or strategy pivots count as out-of-scope and are billed at {₹/$/€} {rate}/hour or a change order.

10) Deliverables & license (client work)

  • Working files: Unless purchased separately, source files (e.g., Figma/PSD/AE) are not included; exported assets and final deliverables are.

  • License: On full payment, you receive a non-exclusive license to use the final deliverables for the agreed project.

  • Third-party assets: Client must hold or purchase licenses for fonts, images, icons, or code libraries used.

11) Cancellations & refunds

  • If you cancel before work starts, we keep the deposit to cover booking/administration.

  • If you cancel after work starts, you owe for work completed to date (milestone or time-and-materials), minus any refundable portion at our discretion.

  • Completed services aren’t refundable.

12) Digital products (optional, if you sell templates/packs)

  • All digital sales are final. No refunds on downloadable items.

  • Licenses are as described on the product page (e.g., personal, commercial, extended).

  • Redistribution, resale, or sharing files is prohibited.

13) Client responsibilities

You’ll provide timely feedback, approvals, and access (hosting, CMS, analytics, brand assets). Delays on your side extend deadlines and may trigger rescheduling fees.

14) Third-party tools & links

We may integrate or embed services (e.g., Webflow, Framer, Vimeo, analytics). They have their own terms and privacy practices. We’re not responsible for outages or changes on those platforms.

15) Acceptable use

Don’t misuse the site: no scraping, reverse engineering, injecting malware, automated bulk requests, or using the site to infringe IP or violate laws.

16) No guarantees

We provide the site “as is.” We don’t guarantee uninterrupted availability, error-free content, specific rankings, conversions, or business outcomes.

17) Warranties (services)

We warrant deliverables will substantially match the approved scope at handoff. Your exclusive remedy is reasonable correction of non-conformity reported within {14/30} days of delivery. All other warranties are disclaimed.

18) Limitation of liability

To the fullest extent allowed by law, {Your Name/Studio} isn’t liable for indirect, incidental, special, consequential, or punitive damages; our aggregate liability is limited to the amount you paid us in the {3/12} months before the claim.

19) Indemnity

You agree to defend, indemnify, and hold us harmless from claims, damages, and expenses arising from your use of the site, your materials, or your breach of these Terms.

20) IP complaints (DMCA)

If you believe content here infringes your copyright, email {hello@yourdomain.com} with details and proof of ownership. We’ll review and respond promptly.

21) Governing law & venue

These Terms are governed by the laws of {State/Country}, without regard to conflicts of law. Courts in {City, State/Country} have exclusive jurisdiction.

22) Dispute resolution (optional)

Before filing a claim, both parties will attempt informal resolution for 15 days after written notice. If unresolved, disputes may be settled by {binding arbitration/competent courts} in {City}.

23) Termination

We may suspend or terminate access to the site at any time for any reason. Clauses that by nature should survive termination will do so (IP, payments, liability limits, indemnity).
